General Terms

These terms may be changed at our discretion at any time and it shall always be the responsibility of the User to ensure that they are fully aware of the terms and conditions of use. Continued use of the TeleLingo Web Portal (TeleLingo.com and/or TeleLingo.net) will be deemed to constitute acceptance of any variation of the terms and conditions of use published on the respective Web Portal.

It is the sole responsibility of each registered TeleStudent and each registered TeleTutor to ensure that all personal details, including contact email addresses, are up to date and accurate at all times.

TeleLingo reserves the right to suspend or terminate the membership of any registered User for any reason. No refunds, payments or compensation of any kind will be paid to registered Users whose registration has been terminated due to breach of these terms and conditions.

The content of communications is entirely the responsibility of the person from whom the content originated. You may not expose content that is offensive, unlawful, harmful to minors, obscene, indecent or otherwise objectionable. You are responsible for ensuring that you do not submit material that is (i) copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner (ii) a falsehood or misrepresentation (iii) offensive, unlawful, harmful to minors, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or that encourages conduct that would be considered a criminal offense, gives rise to civil liability, violates any law, or is otherwise objectionable; (iv) an advertisement or solicitation of business; or (v) impersonating another person.

You will not in any way copy, modify, publish, transmit, display, sell, distribute or reproduce copyrighted material, trademarks or other protected proprietary information without the express written consent of the Owner of such materials.

All registered TeleTutors accept that they are solely responsible for the performance, quality and fulfillment of all contractual obligations between themselves and a registered TeleStudent of TeleLingo in respect of Training Services scheduled with them.

TeleLingo will record the sessions for internal use and quality assessment, as well as for safety monitoring and evidence of possible misconduct.

TeleLingo will seek explicit permission from both TeleStudent and TeleTutor to use excerpts of video recordings for marketing purposes.

TeleStudent registration

When registering as a TeleStudent, you will be required to provide personal information including, but not limited to, your desired Username; your email address; your full name; your native language; your Country of residence; your local time zone (if applicable) and where you heard about us. You will also be requested to confirm that you are over 18 years of age and that you accept the terms and conditions of use. In case of a minor, the parent will accept the Terms and Conditions. To use the TeleLingo platform you will also be required to setup a (free) Zoom account and a (free) Box Sync account, and notify TeleLingo of your Zoom name.

Description of Services

TeleLingo offers 45-minute TeleTutoring sessions using Zoom and other tools to book, review and monitor sessions as well as report on the TeleStudent’s progress and potential problems.

Use of Zoom

By registering or using any service provided by TeleLingo, all Users acknowledge that TeleLingo is not responsible for the quality of the Zoom interface or the quality of communications between a TeleStudent and a TeleTutor using Zoom. Zoom is a third party communications solution and is in no way the responsibility of TeleLingo.

Network and equipment

To ensure good quality and reliable audio/video sessions, TeleStudents are recommended to use Internet Services with adequate Internet connection speed (min 0.5 Mbps, recommended 1 Mbps, best 1.5+ Mbps) and a recent laptop (Win 7/8, MacOS) equipped with webcam and microphone (use of a headset with a microphone is highly recommended, to minimize ambient noises and reverberation). Good audio quality is particularly important in language pronunciation lessons, and in teaching music instruments.

Lesson Cancellation Policy

Sessions cannot be canceled less than 24 hours before the session is due to commence.

Prohibited Activities

Communication via email, Zoom or other means with the intention to schedule and arrange a lesson with a TeleTutor in a way which is intended to circumvent our fee structure and avoid the payment of the Session Fee to TeleLingo is not allowed.

 

Responsibilities of TeleLingo

Quality and Integrity Standards

TeleLingo reserves the right to monitor communications between all registered Users for the purposes of adherence to quality standards, ensuring the integrity and security of TeleLingo services,  as well as ensuring the safety of all TeleLingo Users and compliance with the terms hereof.

 

Responsibilities of the TeleStudent

Booking and Payment

TeleStudents agree to book lesson time with the registered TeleLingo TeleTutors through the TeleLingo Web Portal and to the payment of the Session Fee to TeleLingo.

TeleStudents are required to pay in advance for Sessions to be booked. Payments can be made for individual Sessions or for clusters of Sessions. The terms for invoices of any items not paid in advance are net thirty days from date of invoice.  In the event that payment is not received within 30 days, TeleLingo may charge an administrative fee of 1% per month on any outstanding invoices.  This administrative fee is determined on the 15th of each month.

Failure to adhere to the booking procedure stated above, and in particular any action whatsoever taken by a registered TeleStudent to arrange tuition time with a registered TeleLingo TeleTutor through any other means such that a Session Fee is not paid to TeleLingo, may result in the termination of both that TeleStudent’s membership and that of the TeleTutor concerned, and or legal action against that TeleStudent or the TeleTutor concerned for the recovery of any monies deemed owing to TeleLingo.

All registered TeleStudents agree to TeleLingo acting as their agent for the purposes of booking sessions with a particular TeleTutor on their behalf. All Session Fees charged by TeleLingo in connection with the booking and scheduling of lessons with registered TeleTutors are due solely from the registered TeleStudent who made the booking.

TeleLingo reserves the right to alter or amend the standard Session Fee at any time.
 

Refunds, Cancellation and Rescheduling

Should a registered TeleStudent be unable to attend a booked session or sessions, that TeleStudent may reschedule the booked session or sessions to other available time or times with the same TeleTutor at no cost or penalty, by providing at least 24 hours advance notice to the TeleTutor concerned or via email to Support@TeleLingo.net. Cancellation as opposed to rescheduling of a booked lesson or lessons by a registered TeleStudent will result in the forfeiture of the Session Fee paid in respect of the cancelled session or sessions and no refund will be made by TeleLingo to the registered TeleStudent.

Registered TeleStudents are entitled to a full refund of the Session Fee(s) paid in respect of a session or sessions which are canceled by a TeleTutor, and in respect of a session or sessions where the TeleTutor fails to attend the session in its entirety. In such circumstances, refund requests should be directed by the TeleStudent concerned to the Customer Service stating the full details of the session concerned including the session reference number, the TeleTutor name and the nature of the complaint within 48 hours of the scheduled start time of the session. Following verification of the complaint by TeleLingo (which will include obtaining confirmation of the facts from the TeleTutor concerned), TeleLingo will endeavor to issue a full refund of the Session Fee(s) paid to the TeleStudent concerned within 4 to 7 working days.

Dispute Resolution

TeleLingo is not responsible for the quality of Training Services provided by Language and Music TeleTutors registered on the TeleLingo Web Portal.

TeleTutors and TeleStudents agree on the provision of Training Services, with TeleLingo facilitating the transaction on behalf of the TeleStudent. Where there is a dispute by a registered TeleStudent over the quality, duration, standard or any other matter whatsoever with respect to a session or any associated Training Service performed by a registered TeleTutor, this is a matter to be resolved between the registered TeleStudent and the registered TeleTutor directly as the two principals to the contract.

No refunds will be made by TeleLingo whatsoever in relation to the quality, duration or standard of the Training Service provided, or any other issues which are under the control or influence of the TeleTutor concerned. Any dispute between TeleStudents and TeleTutors shall be resolved solely by the Owner.

Definitions

("Users") refers to both independent freelance TeleTutors ("TeleTutors") and ("TeleStudents"). A User may be a TeleTutor, TeleStudent or both.

("TeleTutors") refers to all registered independent freelance TeleTutors delivering Teaching Services over the TeleLingo platform.

("TeleStudents") refers to any purchaser of Training Services through the TeleLingo Web Portal.("The Web site" or the “Web Portal”) refers to the domains TeleLingo.net and TeleLingo.com.

("Training Service(s)") means any service provided by a TeleTutor to a TeleStudent via the session ID.

("Service(s)") refers to any service provided by TeleLingo to facilitate the provision of Training Services by a TeleTutor to a TeleStudent.

(the "Owner") refers to TeleLingo LLC; Registered in the State of NY.

("Session Fee ") refers to the total fee(s) payable in advance by a TeleStudent to schedule session time with a TeleTutor through TeleLingo.

("Confidential Information") refers to any information whatsoever and howsoever supplied with the exception of information that is in the public domain or must be disclosed to comply with the law.

Miscellaneous

TeleLingo.net and TeleLingo.com domains are owned and operated by TeleLingo LLC, a New York limited liability company;

Laws and Regulations

The provisions of this Agreement shall be governed by the laws of the United States. The provisions of this agreement are severable and, if any provision of this Statement of Work is held to be invalid or unenforceable, that provision may be removed and the remaining provisions will be enforced.
